These Terms and Conditions (“Terms”) govern your access to and use of the SpendVerified website, platform, memberships, verification tools, record creation tools, owner portal, exports, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. What SpendVerified Is
SpendVerified is a software platform for creating, managing, sharing, and verifying purchase, provenance, and ownership-history records for goods, items, transactions, and similar assets.
The Services may include record submission workflows, receipt or proof uploads, public verification tools, owner dashboards, history updates, exports, transfer-related features, shared verification links, QR-based lookup, and optional blockchain or tokenized record features.
SpendVerified is a recordkeeping and verification tool only. It is not a bank, insurer, escrow agent, payment processor, title company, appraisal firm, auction house, marketplace operator, law firm, or government registry.
2. Eligibility
You must be at least 18 years old, or the age of legal majority where you live, to use the Services.
If you use the Services on behalf of a business, team, or organization, you represent that you have authority to bind that entity to these Terms.
3. Accounts, Memberships, and Access
Some features require an account, paid membership, connected wallet, or approved access level.
You agree to:
- provide accurate and current information,
- maintain the security of your credentials and connected tools,
- restrict unauthorized use of your account,
- notify us promptly of suspected unauthorized activity, and
- accept responsibility for activity under your account.
We may suspend or restrict access if we believe an account is inaccurate, compromised, abusive, or in violation of these Terms.
4. What the Platform Does and Does Not Verify
SpendVerified helps users organize and create tamper-evident purchase and provenance records. Unless expressly stated otherwise in writing, SpendVerified does not independently guarantee:
- that an item is genuine,
- that a seller had legal title,
- that a transaction actually occurred as described,
- that all prior ownership history is complete,
- that uploaded documents are accurate,
- that a record is legally binding evidence in every jurisdiction, or
- that any third party will accept a SpendVerified record as conclusive proof.
A SpendVerified record is evidence of submitted information, timestamps, linked materials, and related platform history. It is not a standalone guarantee of authenticity, ownership, title, legality, value, or merchant performance.
5. User Responsibility for Submitted Information
You are solely responsible for the information, files, images, identifiers, notes, and supporting materials you submit to the Services.
You represent and warrant that:
- you have the right to upload or submit the materials,
- the information you provide is accurate to the best of your knowledge,
- your submissions do not infringe privacy, confidentiality, or intellectual property rights,
- your use of the Services complies with applicable law, and
- you will not knowingly submit false, deceptive, forged, stolen, or manipulated records.
We may remove, suspend, or flag records if we believe submitted materials are unlawful, misleading, abusive, fraudulent, or otherwise violate these Terms.
6. Receipts, Photos, Files, and Record Content
You may submit receipts, invoices, proofs of purchase, serials, identifiers, certificates, notes, images, chat evidence, transfer details, condition updates, or similar materials.
You understand that:
- private attachments may be stored or displayed according to your plan and settings,
- public verification views may show limited record data without exposing all private files,
- record visibility depends on the feature configuration you choose, and
- once you share a verification link, QR, code, or public record view, other people may rely on the information you chose to expose.
7. Ownership History and Transfers
The Services may support ownership-history updates, transfer-related workflows, claim flows, or passport-style record reassignment.
SpendVerified does not guarantee that any transfer reflects valid legal ownership under local law. Users are solely responsible for confirming that a transfer is legitimate, authorized, and supported by whatever outside documentation or legal formalities may apply.
Platform history is informational and operational in nature. It does not replace bills of sale, titles, deeds, warranties, chain-of-custody documents, or other formal legal instruments where those are required.
8. Optional Blockchain, Tokenized, or External Verification Features
Some records or features may use external networks, wallet connections, tokenized records, hashes, attestations, or public blockchain infrastructure.
If you use those features, you understand and agree that:
- public wallet addresses and transaction activity may be visible to others,
- some records or metadata may be persistent or difficult to delete,
- external networks may have outages, congestion, forks, fees, or unexpected behavior,
- we do not control third-party networks or wallets, and
- SpendVerified does not guarantee legal recognition or third-party acceptance of any blockchain-based record.
You are responsible for safeguarding your wallet, keys, and any related access credentials. We are not responsible for losses caused by wallet compromise, user error, incompatible networks, or third-party wallet failures.
9. No ID Verification Required for Core Flows
Core SpendVerified flows may be available without identity verification. You understand that the absence of identity verification may affect how third parties view or rely on a record. It is your responsibility to determine whether additional documentation, signatures, attestations, or verification steps are needed for your use case.
10. Payments, Memberships, Billing, and Renewals
Some features require a paid subscription or plan.
By purchasing a plan, you agree to pay all applicable fees, taxes, and charges. Recurring plans may renew automatically until canceled. We may change pricing, limits, plan features, or billing terms prospectively by updating the applicable offering.
Unless required by law or expressly stated otherwise, fees are non-refundable once the service period begins.
Failure to maintain payment may result in loss of access, reduced storage, record limits, export limits, or other plan restrictions.
11. Storage, Limits, and Plan Features
Plan limits may apply to records, uploads, storage, exports, shared access, seats, workflow tools, and similar features.
We may enforce plan limits technically or administratively. Exceeding plan limits may require upgrading, reducing usage, deleting content, or purchasing additional capacity where offered.
We may modify plan features prospectively. Continued use after an update constitutes acceptance of the revised offering.
12. Acceptable Use
You agree not to:
- use the Services for unlawful, fraudulent, deceptive, or abusive purposes,
- upload forged or stolen receipts, invoices, titles, certificates, or similar records,
- impersonate another person or business,
- misrepresent ownership, provenance, condition, value, or authenticity,
- infringe privacy, publicity, confidentiality, or intellectual property rights,
- upload malware or malicious code,
- interfere with platform security or availability,
- scrape, reverse engineer, or bypass usage controls except as allowed by law, or
- use the Services in connection with stolen goods, counterfeit goods, illegal trade, or financial fraud.
We may investigate suspected misuse and may suspend or terminate access where appropriate.
13. User Content
You retain ownership of content you submit to the Services (“User Content”), subject to the rights granted below.
You grant SpendVerified a limited, non-exclusive, worldwide license to host, process, store, reproduce, display, adapt, and use User Content as reasonably necessary to provide, secure, maintain, improve, and support the Services, enforce these Terms, and comply with law.
You represent that you have all rights and permissions necessary to submit User Content.
14. Intellectual Property
The Services, including the platform, software, branding, workflows, text, graphics, site content, and related materials, are owned by SpendVerified or its licensors and are protected by applicable law.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for your internal personal, business, or organizational purposes.
You may not copy, sell, sublicense, redistribute, or commercially exploit the Services except as expressly permitted in writing.
15. Third-Party Services
The Services may interact with or rely on third parties, including wallet providers, payment processors, hosting providers, storage vendors, analytics vendors, email tools, onramp services, blockchain infrastructure providers, and other integrations.
We do not control and are not responsible for third-party terms, policies, fees, uptime, privacy, security, or performance. Your use of third-party services is governed by their own terms and policies.
16. Privacy
Your use of the Services is also subject to our Privacy Policy, if posted. You are responsible for ensuring that any personal information, customer information, or third-party documents you submit may lawfully be uploaded and processed through the Services.
Do not upload sensitive information unless it is reasonably necessary for the intended use and you have the right to provide it.
17. Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available.”
SpendVerified disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, quiet enjoyment, and results.
We do not warrant that:
- the Services will meet every use case,
- any record will be accepted by a buyer, seller, platform, insurer, court, auditor, marketplace, or government,
- any uploaded information is accurate,
- any item is authentic or lawfully owned,
- any blockchain or external-network feature will always function, or
- the Services will be uninterrupted, secure, or error-free.
18. Limitation of Liability
To the fullest extent permitted by law, SpendVerified and its affiliates, owners, licensors, service providers, and personnel will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, loss of data, loss of goodwill, business interruption, fraudulent transaction losses, authenticity disputes, title disputes, resale disputes, or third-party claims arising from or related to the Services.
Our total liability for any claim relating to the Services will not exceed the greater of:
- the amount you paid us for the Services in the 12 months before the event giving rise to the claim, or
- USD $100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
19. Indemnification
You agree to defend, indemnify, and hold harmless SpendVerified and its affiliates, owners, officers, contractors, licensors, and service providers from and against claims, liabilities, losses, damages, judgments, and expenses arising out of or related to:
- your use of the Services,
- your User Content,
- your submitted records,
- your transfers or verification claims,
- your violation of these Terms,
- your infringement of third-party rights, or
- your violation of applicable law.
20. Suspension and Termination
You may stop using the Services at any time.
We may suspend, restrict, or terminate your access at any time if we believe you violated these Terms, created legal or security risk, failed to pay required fees, or used the Services in a harmful or unlawful manner.
Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, payment obligations, and dispute provisions.
21. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, unless applicable law requires otherwise.
22. Dispute Resolution
Before filing a formal claim, you agree to first contact us and attempt to resolve the dispute informally in good faith.
If a dispute cannot be resolved informally, it shall be brought exclusively in the state or federal courts located in Wyoming, unless applicable law requires a different forum.
23. Changes to These Terms
We may update these Terms from time to time. The updated version becomes effective when posted, unless otherwise stated. Your continued use of the Services after revised Terms are posted constitutes acceptance of the revised Terms.
